Election of Elected Directors and adoption of revised Memorandum & Articles of Association

At our Inaugural Annual General Meeting (AGM) held on Wednesday 7th February 2018 at 08.00 (UK Time) at Squire Patton Boggs (UK) LLP, 7 Devonshire Square, London EC2M 4YH, following an open nomination process the membership voted to elect two Elected Directors & adopt revised Memorandum & Articles of Association following Sport Integrity Global Alliance (SIGA) – Governance Analysis.

Elected Directors;

The Nominees were approved by the Board for election at the 2018 AGM and these were;

• Nomination of the re-election of Sacha Lemaire, Fédération de Parkour (FRA)
• Nomination of the election of Gordon Tsang, Parkour UK (GBR)

The Elected Directors were nominated for election by the Member National Federations, subject in each case to the approval of the Board. The election of Elected Directors was decided by votes cast by all the Voting Members at Inaugural AGM.

• Member National Federations voted unanimously to re-elect Sacha Lemaire of Fédération de Parkour (FRA) as an Elected Director for a full four-year term up to our AGM in 2022, following his initial election as an Elected Director up t the 2018 AGM as set out in the Transitional Arrangements as per the founding our current Memorandum & Articles of Association (which have now been superseded).
• Member National Federations voted unanimously  Gordon Tsang, Parkour UK (GBR) as an Elected Director for a full four-year term up to our AGM in 2022.

Revised Memorandum & Articles of Association;

Following a Governance Analysis by the Sport Integrity Global Alliance (SIGA) in relation to the SIGA Universal Standards, the Board of Parkour Earth proposed amendments to our Memorandum & Articles of Association to ensure that we, as an International Federation continue to stay at the forefront of Good Governance.Member National Federations voted unanimously to adopt the proposed amendments to our Memorandum & Articles of Association, which were produced to the meeting be adopted as the Memorandum & Articles of Association of the Federation in substitution for, and to the exclusion of, its existing Memorandum & Articles of Association.

Due Diligence;

Therefore, following the required due diligence, necessary paperwork and governance checks we have now completed the company filings for the appointment of our Elected Directors and the adoption Memorandum & Articles of Association of the Federation in substitution for, and to the exclusion of, its existing Memorandum & Articles of Association of following the voting by Member National Federations.The Board of Parkour Earth wish to formally express and record their significant thanks, gratitude and appreciation to our Member National Federations and our global community.Parkour UK, Fédération de Parkour, New Zealand Parkour Association, Australian Parkour Association, Parkour South Africa, Polska Federacja Parkour i Freerun & 대한 파쿠르 협회 - Korea Parkour Association
